Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of Vislice Studio ("Vislice," "we," "us," or "our"), a short-form video clipping service operated by Visionary Insights LLC, an AI-native venture studio registered in the United States.

By accessing our website at vislice.visionaryinsights.co, purchasing any service, or submitting any content to us, you agree to be bound by these Terms. If you do not agree, you may not use our services.

Vislice Studio is a product of Visionary Insights LLC. These Terms apply specifically to Vislice Studio and supplement, but do not replace, the Terms of Service of the parent company available at visionaryinsights.co/terms.

2. Description of Services

Vislice Studio provides done-for-you short-form video clipping services. We accept long-form source video content submitted by clients and deliver edited short-form clips optimized for social media platforms including but not limited to TikTok, Instagram Reels, YouTube Shorts, LinkedIn, and Facebook Reels.

Our services are offered across multiple tiers with varying deliverables, turnaround times, and levels of brand customization. Current service tiers, pricing, deliverables, and available add-ons are described in full on our pricing page.

Service descriptions, pricing, and availability are subject to change at any time. Changes will be reflected on the Vislice Studio website. The rates and deliverables applicable to your order are those published at the time your payment is confirmed.

3. Orders, Payment, and Refunds

3.1 Payment

All payments are processed securely through our third-party payment processor. By completing a purchase, you authorize Vislice Studio to charge the applicable fee to your selected payment method. All prices are listed in US Dollars (USD).

3.2 Order Confirmation

Your order is confirmed upon successful payment. Following payment, you will be directed to an intake form where you must submit your source video and any relevant brief information.

Your delivery clock begins when we receive your completed intake submission, not at the time of payment.

3.3 Refunds

Due to the labor-intensive and time-sensitive nature of our services, all sales are final once editing has commenced. If you believe there is a quality issue with your delivery, please contact us at hello@visionaryinsights.co within 48 hours of receiving your clips. We will review the issue and, at our discretion, offer a re-edit or partial credit toward a future order. We do not offer full refunds once work has begun.

If we are unable to process your order for reasons within our control, we will issue a full refund to your original payment method within 5 to 10 business days.

4. Client Responsibilities and Content Submission

4.1 Source Video Ownership

By submitting a source video to Vislice Studio, you represent and warrant that:

• You are the legal owner of the submitted video content, or you have explicit written permission from the rights holder to submit it for editing and distribution.
• The content does not violate any applicable laws, regulations, or third-party rights including but not limited to copyright, trademark, defamation, or privacy rights.
• You have the right to authorize Vislice Studio to edit and process the content on your behalf.

Vislice Studio accepts no liability for intellectual property claims, legal disputes, or platform enforcement actions arising from content submitted by clients.

4.2 Music and Audio

Vislice Studio uses only licensed background music sourced from approved royalty-free libraries by default. If you request specific music for your clips through our intake process, you represent and warrant that:

• The requested track is royalty-free and cleared for commercial social media use.
• You hold the appropriate license or have verified the rights to use the track in published social media content.

Vislice Studio will make reasonable efforts to verify submitted tracks before use. If we cannot verify the rights to a submitted track, we will notify you and apply our default licensed music instead. Vislice Studio accepts no liability for any copyright claims, platform takedowns, monetization disputes, or legal actions arising from music you submit or request.

4.3 Brand Assets

Any brand assets you submit — including logos, fonts, color codes, and brand guidelines — are used solely for the purpose of fulfilling your order. Vislice Studio will not use your brand assets for any other purpose or share them with third parties outside of our operational service providers.

5. Delivery

Turnaround times vary by service tier and are published on our pricing page. Turnaround times are targets, not guarantees. Delays caused by incomplete submissions, unclear briefs, or circumstances outside our control do not entitle clients to refunds.

Completed clips will be delivered to you via a secure shared folder. It is your responsibility to download and store your clips upon delivery. Vislice Studio does not provide long-term storage of delivered content.

6. Brand Customization

The level of brand customization applied to your clips varies by service tier. Higher tiers receive more comprehensive brand integration including custom colors, fonts, and brand asset application. Entry-level tiers receive best-effort customization using Vislice Studio's standard production template where client brand preferences cannot be fully accommodated within the scope of that tier.

Full details of what is included at each tier are available on our pricing page. By purchasing a service, you acknowledge and accept the customization scope associated with your selected tier.

7. Intellectual Property

7.1 Your Content

You retain full ownership of all source video content you submit to Vislice Studio. You also retain ownership of the delivered clips we produce from your content.

7.2 Vislice Studio IP

All Vislice Studio branding, website content, production templates, editorial workflows, and proprietary processes are the intellectual property of Visionary Insights LLC. You may not reproduce, distribute, reverse-engineer, or use any Vislice Studio materials, processes, or systems without prior written consent.

7.3 Portfolio Use

Unless you explicitly opt out in writing at the time of your order, Vislice Studio reserves the right to use anonymized or credited examples of delivered clips in our portfolio, case studies, and marketing materials. To opt out, email hello@visionaryinsights.co before or at the time of submitting your intake form.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Visionary Insights LLC and Vislice Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to:

• Platform enforcement actions, content takedowns, or account suspensions resulting from content you submitted
• Copyright or intellectual property claims arising from music, footage, or brand assets you provided
• Loss of revenue, followers, engagement, or business opportunity
• Delays in delivery due to circumstances outside our control

Our total liability to you for any claim arising from our services shall not exceed the amount you paid for the specific order giving rise to the claim.

9. Disclaimers

Vislice Studio provides services on an "as is" and "as available" basis. We do not guarantee specific results including but not limited to views, engagement, follower growth, or platform performance from delivered clips. Results depend on factors outside our control including your audience, platform algorithms, and posting strategy.

We are not a law firm and nothing in these Terms constitutes legal advice. If you have questions about intellectual property rights related to your content, consult a qualified attorney.

10. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which Visionary Insights LLC is registered. Any disputes arising from these Terms or your use of Vislice Studio services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable US arbitration rules.

11. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be published at vislice.visionaryinsights.co with an updated effective date. Your continued use of our services after changes are posted constitutes acceptance of the revised Terms.
